# X-IoT Co., Ltd. Terms of Service ## Article 1 (Purpose) These Terms of Service are intended to define the conditions and procedures for the use of the information services (hereinafter referred to as the "Services") provided through the website `x-iot.co.kr` (hereinafter referred to as the "Site") operated by 주식회사 엑시엇 (hereinafter referred to as the "Company"), as well as the rights, obligations, and responsibilities of the Company and users. ## Article 2 (Definitions) The definitions of the terms used in these Terms are as follows: 1. "Site" refers to the website `x-iot.co.kr` operated by the Company. 2. "Services" refer to the provision of information regarding the Company, its products and services, inquiry submission functions, and other ancillary features provided through the Site. 3. "User" refers to any person who accesses and uses the Services in accordance with these Terms. 4. "Content" refers to all information provided by a user to the Company through inquiry forms or other means on the Site, including text, images, files, and other materials. ## Article 3 (Publication, Effectiveness, and Amendment of Terms) 1. The Company shall publish these Terms on the Site in a manner that allows users to easily access and review them. 2. The Company may amend these Terms to the extent that such amendments do not violate applicable laws and regulations, including the Act on the Regulation of Terms and Conditions and the Act on Promotion of Information and Communications Network Utilization and Information Protection. 3. In the event of any amendment to these Terms, the Company shall provide notice on the Site at least seven (7) days prior to the effective date, specifying the effective date and reasons for the amendment. However, if the amendment is disadvantageous to users, the Company shall provide notice at least thirty (30) days in advance. 4. Matters not specified in these Terms shall be governed by applicable laws and regulations and general commercial practices. ## Article 4 (Provision of Services) 1. The Company provides the following Services through the Site: 1. Provision of information regarding the Company and its products and services 2. Receipt of and response to user inquiries 3. Other ancillary services determined by the Company 2. The Site may be freely used by any person without a separate membership registration process. However, information voluntarily provided by users when using certain features such as inquiry submission (including name and contact information) shall be processed in accordance with the separate Privacy Policy. 3. The Company may change the content of the Services as necessary for operational or technical reasons, and any such changes shall be announced on the Site. ## Article 5 (Suspension of Services) 1. The Company may temporarily suspend the provision of the Services in the event of unavoidable circumstances such as maintenance, inspection, replacement, or failure of computer or telecommunications equipment, communication interruptions, or force majeure events. 2. The Company shall not be liable for any damages incurred by users due to such suspension of Services. However, this shall not apply in cases of willful misconduct or gross negligence on the part of the Company. ## Article 6 (Obligations of Users) Users shall not engage in any of the following acts in connection with the use of the Site: 1. Registering false information when submitting applications or inquiries 2. Misappropriating another person's information 3. Unauthorized modification of information posted on the Site 4. Infringement of the intellectual property rights, including copyrights, of the Company or any third party 5. Acts that damage the reputation of or interfere with the business operations of the Company or any third party 6. Transmitting or posting obscene, violent, or otherwise socially unacceptable content on the Site 7. Any act that interferes with the stable operation of the Site (including automated mass access, unauthorized crawling, and security vulnerability scanning) ## Article 7 (Management of User Content) 1. Content provided by users through inquiry submissions or other means on the Site shall be retained for the retention period specified in the Privacy Policy and shall be destroyed without delay upon expiration of the retention period or achievement of the processing purpose. 2. The Company may delete user content or refuse to respond without prior notice if it determines that such content: 1. Includes any matter prohibited under Article 6 of these Terms 2. Does not align with the original purpose of inquiry submission, such as advertising or promotional content 3. Violates applicable laws and regulations ## Article 8 (Ownership of Copyrights and Restrictions on Use) 1. All copyrights and intellectual property rights related to materials posted on the Site, including text, images, designs, logos, and videos, belong to the Company or the legitimate rights holders. 2. Users shall not reproduce, transmit, publish, distribute, broadcast, or otherwise use for commercial purposes any information obtained through the Site, nor permit any third party to use such information, without the prior written consent of the Company. 3. Copyrights to content posted by users on the Site shall remain with the respective users. However, users agree that the Company may use such content for the purposes of responding to inquiries and operating the Site. ## Article 9 (Responsibility for External Site Links) 1. The Site may contain links to external websites operated by third parties. 2. The Company does not guarantee the accuracy, legality, or safety of information or services provided on external websites and shall not be liable for any damages arising from the use of such external websites. ## Article 10 (Protection of Personal Information) 1. In collecting and using users' personal information, the Company shall comply with applicable laws and regulations, including the Personal Information Protection Act (PIPA) and the Act on Promotion of Information and Communications Network Utilization and Information Protection. 2. Matters concerning categories of personal information collected, purposes of use, retention periods, provision to third parties, and outsourcing of processing shall be governed by the separate Privacy Policy. ## Article 11 (Disclaimer) The Company shall not be liable for damages arising from any of the following causes. However, this shall not apply in cases of willful misconduct or gross negligence on the part of the Company. 1. Causes beyond the reasonable control of the Company, including natural disasters, war, power outages, and network failures 2. Service disruptions attributable to the user 3. Damages arising from a user's use of information posted on the Site outside the Site 4. Damages arising through links to external websites ## Article 12 (Dispute Resolution) 1. The Company shall endeavor to take appropriate measures reflecting legitimate opinions or complaints raised by users. 2. In the event of a dispute between the Company and a user, both parties shall endeavor to resolve the dispute through mutual consultation in good faith. 3. If the dispute cannot be resolved through consultation, a lawsuit may be filed with the court having jurisdiction under the Civil Procedure Act. ## Article 13 (Jurisdiction and Governing Law) 1. These Terms shall be governed by the laws of the Republic of Korea. 2.
